RLC shall have the right at any time and without prior notice, at its sole discretion, to revise these Terms or to impose new terms and conditions with respect to access to or use of the Site. Such revisions and additions shall be effective immediately upon notice thereof, which may be given by any means, including but not limited to, posting the revised or additional terms and conditions on the Site. You are responsible for reviewing the Terms periodically for any modification to this Agreement that may affect your rights or obligations hereunder. You agree that you shall be deemed to be apprised of and bound by any modification by RLC to these Terms. ANY ACCESS OR USE OF THE SITE BY YOU AFTER NOTICE OF REVISIONS OR ADDITIONS TO THESE TERMS SHALL CONSTITUTE AND BE DEEMED TO BE YOUR AGREEMENT TO SUCH REVISIONS OR ADDITIONS. No modification to these Terms by any party other than by RLC shall be valid or enforceable against RLC unless expressly agreed to by RLC in a writing signed by a duly authorized officer of RLC.
Description of Services
Among other things, RLC provides information concerning various Products and Services and the opportunity to obtain additional information concerning those Products and Services or to purchase them. The information available on or through use of the Site, including but not limited to data, text, articles, content, software, images, graphics, photographs, audio and video clips, links and references and other materials (collectively, the “Information”) is provided for informational purposes only. The Site provides you with access to a variety of resources, including product and services information (“Services”). The Services are subject to these TOU.
The text, images, photographs, graphics, logos, illustrations, descriptions, data, and other material provided on the Site, as well as the selection, assembly and arrangement thereof, are referred to collectively as the “Content.” The Content may contain errors, omissions, or typographical errors or may be out of date. RLC may change, delete, or update any Content at any time and without prior notice. The Content is provided for informational purposes only and is not binding on RLC in any way except to the extent it is specifically indicated to be so. Unless otherwise noted, all Content is protected by copyright, trademark, common law and other proprietary rights that are owned by RLC or by third parties that have licensed their use to RLC. You may view and use the Content only for your personal information and for no other purpose. You must retain all trademark, copyright and other proprietary notices on downloaded or printed Information, and any such downloads or copies are subject to the Terms of this Agreement and shall remain the property of RLC and/or its licensors and/or suppliers. Except as provided in the foregoing, RLC does not grant to you or any person any right to use, reproduce, copy, modify, transmit, display, publish, sell, license, create derivative works, publicly perform, or distribute by any means, method, or process whatsoever, now known or hereafter developed, any of the Content on or transmitted through the Site, including without limitation by transferring, downloading or otherwise copying any Content onto any disk drive or other storage medium. Any use of the Content, except as specifically permitted in these Terms or as otherwise expressly permitted in the Content or in writing signed by RLC, is strictly prohibited. You acknowledge that you do not acquire any ownership rights by using the Site or any Services or Information. Nothing contained on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of RLC and/or its licensors’, suppliers’ or third party owners of trademarks or copyrights without the express written permission of RLC, our licensors or suppliers, or the third party owner of any such trademark and/or copyright. Use of content is strictly prohibited unless authorized in writing by RLC.
Registration, Password, and Security
If any of the Services requires you to login, you must complete the registration process by providing us with current, complete and accurate information as prompted by the registration form. You also may choose a password and a user ID. You are entirely responsible for maintaining the confidentiality of your password and user ID. Furthermore, you are entirely responsible for any and all activities that occur under your user ID. You must notify us immediately of any unauthorized access or use of your user ID or any other breach of security. We will not be liable for any loss that you may incur as a result of someone else using your password or user ID, either with or without your knowledge.
You shall indemnify, defend (at RLC’s option) and hold harmless RLC and its respective officers, directors, employees, agents, successors and assigns from and against any and all liabilities, expenses (including legal fees), damages, penalties, fines, social security contributions and taxes arising out of or related to your breach of your representations, warranties or obligations under this Agreement, or a claim by a third party directly or indirectly related to your provision of RLC Services or use of the RLC Services. This indemnification provision shall not apply to your breach of any representations regarding your status as an independent contractor.
Limitation of Liability
RLC WILL NOT BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF DRIVER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ANY INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR OTHER INDIRECT DAMAGES OF ANY TYPE OR KIND, OR YOUR OR ANY THIRD PARTY’S PROPERTY DAMAGE, OR LOSS OR INACCURACY OF DATA, OR LOSS OF BUSINESS, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE. EXCEPT FOR COMPANY’S OBLIGATIONS TO PAY AMOUNTS DUE TO YOU. IN NO EVENT SHALL THE LIABILITY OF RLC EXCEED THE AMOUNT OF SERVICE FEES ACTUALLY PAID TO OR DUE TO RLC IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.
Either party may terminate without cause at any time. RLC may deactivate your ID immediately, without notice, with respect to you in the event you no longer qualify under applicable law or the standards and policies of RLC to provide RLC Services. Your outstanding obligations under these TOU survive termination. These Terms are effective until terminated by RLC. RLC may terminate these Terms without notice and at any time. In the event of termination, you are no longer authorized to access the Site and the restrictions imposed on you with respect to the Content, the Materials, the disclaimers, indemnities, and limitations of liabilities set forth in these Terms shall survive termination. RLC shall also have the right without notice and at any time to terminate the Site or any portion thereof, or any Products or Services offered through RLC or the Site, or to terminate any individual’s right to access or use the Site or any portion there
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW: (A) THE SITE (INCLUDING ALL INFORMATION) AND THE PRODUCTS OR SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED; AND (B) RLCAND ITS AFFILIATES, AGENTS, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, DIRECTORS, CONSULTANTS, REPRESENTATIVES, LICENSORS, SUPPLIERS, ADVERTISERS, SPONSORS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, “RLC’sS REPRESENTATIVES”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, MERCHANTABILITY, QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE, ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE, AND ANY WARRANTIES THAT THE INFORMATION AND THE SITE IS CURRENT AND/OR UP-TO-DATE. RLCAND RLC’sS REPRESENTATIVES DO NOT WARRANT THAT THE INFORMATION, THE SITE OR SERVICES, NOR YOUR USE OF THE FOREGOING, WILL BE COMPLETE, ACCURATE, CURRENT, RELIABLE, UNINTERRUPTED, ERROR-FREE OR SECURE, NOR THAT DEFECTS WILL BE CORRECTED, NOR THAT THE SITE OR THE SERVER(S) ON WHICH THE SITE IS HOSTED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR OBTAINING AND MAINTAINING ALL TELEPHONE, COMPUTER HARDWARE AND OTHER EQUIPMENT NEEDED TO ACCESS AND USE THE SITE, AND ALL CHARGES RELATED THERETO. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, THE PRODUCTS AND/OR SERVICES AND/OR INFORMATION AND YOUR RELIANCE THEREON. NO OPINION, ADVICE OR STATEMENT OF RLCOR ANY OF RLC’sS REPRESENTATIVES, WHETHER MADE ON OR IN CONNECTION WITH THE SITE, THE PRODUCTS OR SERVICES OR INFORMATION SHALL CREATE ANY WARRANTY.
Some states and provinces do not allow the disclaimer of implied warranties of merchantability and fitness for a particular purpose, so the above disclaimers or exclusions may not apply to you. In the event that applicable law imposes implied warranties on the Products, Services or Information notwithstanding the foregoing, such implied warranties shall not have a duration greater than one year from the relevant purchase or access date; shall terminate automatically at the end of such period; and shall be disclaimed and excluded to the fullest extent permitted by law. You may also have other rights under applicable law which vary from state to state.
The Services are controlled and operated from its facilities in the United States. RLC makes no representations that the Services are appropriate or available for use in other locations. Those who access or use the Services from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable United States and local laws and regulations, including but not limited to export and import regulations. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
RLCAND RLC’sS REPRESENTATIVES ARE UNDER NO OBLIGATION TO VERIFY THE IDENTITY OF USERS OF THE SITE, PRODUCTS OR SERVICES AND/OR INFORMATION. RLCAND RLC’sS REPRESENTATIVES DO NOT CONTROL THE MATERIALS POSTED OR SUBMITTED TO THE SITE BY PERSONS OTHER THAN THEMSELVES AND DO NOT MONITOR, SCREEN, POLICE OR EDIT THOSE MATERIALS FOR COMPLIANCE WITH APPLICABLE LAWS OR THESE TERMS AND CONDITIONS. YOU MAY FIND SOME OF THE MATERIALS POSTED BY OTHER USERS TO BE OFFENSIVE, HARMFUL, INACCURATE OR DECEPTIVE. YOU SHOULD USE CAUTION AND COMMON SENSE WHEN USING THE SITE.
THROUGH YOUR USE OF THE SITE, PRODUCTS, SERVICES AND/OR INFORMATION, YOU MAY HAVE THE OPPORTUNITY TO ENGAGE IN COMMERCIAL TRANSACTIONS WITH THIRD PARTIES. ALL SUCH TRANSACTIONS ARE AT YOUR OWN RISK. RLCAND RLC’sS REPRESENTATIVES ARE NOT PARTIES TO ANY SUCH TRANSACTIONS AND DISCLAIM ANY AND ALL LIABILITY REGARDING ALL SUCH TRANSACTIONS.
Ability to Contract
You affirm that you are at least eighteen (18) years of age (or age of majority in your legal jurisdiction) and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.
You agree that any dispute, claim or controversy arising out of or relating to these TOU or the breach, termination, enforcement, interpretation or validity thereof or the use of the RLC Services (“Disputes“) will be settled by binding arbitration between you and RLC, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and RLC are each waiving the right to a trial by jury or to participate as a plaintiff or class in any purported class action or representative proceeding. Further, unless both you and RLC otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this section will be deemed void. Except as provided in the preceding sentence, this section will survive any termination of these TOU. The arbitration will be administered by the American Arbitration Association (“AAA“) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules“) then in effect, except as modified by this “Dispute Resolution” section.
These TOU shall be governed by the laws of the State of Alaska, USA, excluding its conflicts of laws principles. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these TOU or your use of the RLC Services shall be filed only in the state or federal courts located in the State of Alaska, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
No Unlawful or Prohibited Use
As a condition of your use of the RLC Services, you will not use the RLC Services for any purpose that is unlawful or prohibited by these TOU. You may not use the RLC Services in any manner that could damage, disable, overburden, or impair any RLC server, or the network(s) connected to any RLC server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other user IDs, computer systems or networks connected to any RLC server or to any of the RLC Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the RLC Services.
Removal of Proprietary Notice and other Restrictions
You agree not to remove any proprietary notices from materials you obtain through the RLC Services, including but not limited to, copyright or trademark notices. You may not reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the RLC Services except as expressly permitted by RLC; decompile, reverse engineer or disassemble the RLC Services except as may be permitted by applicable law; link to, mirror or frame any portion of the RLC Services; cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the RLC Services or unduly burdening or hindering the operation and/or functionality of any aspect of the RLC Services; or attempt to gain unauthorized access to or impair any aspect of the RLC Services or its related systems or networks.
RLC makes no representation that any materials or Services are appropriate or available for use in locations outside the United States and accessing them from territories where their contents are illegal is prohibited.
The Services are for your personal use, or the use of your employer. Except as otherwise expressly stated, you may not publish, license, create derivative works from, or sell, any information, products or services obtained from the Services.

RLC does not accept or consider unsolicited ideas, including ideas for new products or technologies, processes, materials, marketing plans, or new product names. Please do not send any original creative artwork, samples, demos, or other works. If, despite our request that you not send us your ideas and materials, you still send them, please understand that RLC makes no assurances that your ideas and materials will be treated as confidential or proprietary.
Disclaimer of Warranties
THE SITE AND THE SERVICES ARE PROVIDED “AS IS,” “WHERE IS,” AND “WHERE AVAILABLE” AND RLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Limitation of Liability
RLC AND ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES (INCLUDING WITHOUT LIMITATION, LOST PROFITS, COST OF PROCURING SUBSTITUTE SERVICE, OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE OR THE SERVICES, EVEN IF RLC IS MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION ON LIABILITY INCLUDES, BUT IS NOT LIMITED TO, THE TRANSMISSION OF ANY VIRUSES THAT MAY INFECT A USER’S EQUIPMENT, FAILURE OF MECHANICAL OR ELECTRONIC EQUIPMENT OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS, UNAUTHORIZED ACCESS, THEFT, OPERATOR ERRORS, STRIKES OR OTHER LABOR PROBLEMS OR ANY FORCE MAJEURE EVENT.
YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS RLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, OR EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SITE OR THE SERVICES.
You agree that RLC has no control over or liability for information on Linked Sites. You should be aware that Linked Sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that are different from the provisions provided on this Site. RLC is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions. You acknowledge that when you access a Linked Site you do so at your own risk and that we do not recommend or endorse Linked Sites.
RLC prohibits unauthorized hypertext links to the Site, or the framing of the Site.
We reserve the right to modify these TOU, the Site, the Services, the Software, or the Documents at any time for any reason without notice to you.
Termination of Access
WE RESERVE THE RIGHT TO TERMINATE YOUR ACCESS TO THE SERVICES, OR ANY PORTION THEREOF, AT ANY TIME.
DMCA – Copyright Infringement Claims
RLC has registered an agent with the United States Copyright Office in accordance with the terms of the Digital Millennium Copyright Act (the “DMCA”) and avails itself of the protections under the DMCA. RLC reserves the right to remove any materials on the Service that allegedly infringe another person’s copyright. If you believe your copyright has been infringed, please notify us info@RLC.com and provide the following information:
- a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- identification of the copyrighted work(s) claimed to have been infringed;
iii. identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- information reasonably sufficient to permit us to contact you, such as an address, telephone number, and e-mail address;
- a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Code of Conduct
You agree not to:
Engage in spamming or phishing attacks;
Transmit (a) any content or information that is unlawful, fraudulent, deceptive, threatening, abusive, vulgar, derogatory, sexist, racist, hateful, harassing, libelous, defamatory, obscene, indecent, pornographic, sexually explicit, blasphemous, harmful, invasive of the privacy rights of others, or otherwise objectionable, or infringes our or any third party’s intellectual property or other rights; (b) any material, non-public information about companies without the authorization to do so; (c) any trade secret of any third party; or (d) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication;
Restrict or inhibit any other visitor from using the Site, including, without limitation, by means of “hacking” or defacing any portion of the Site;
Express or imply that any statements you make are endorsed by us, without our prior written consent;
Upload any Materials that contains any virus, worm or other files, scripts or programs designed to damage or allow unauthorized access to the Services or the Site;
Remove any copyright, trademark or other proprietary rights notices contained in or on the Information, the Site, the Products or Services;

You represent and warrant to RLC that (a) the Materials do not and will not infringe any rights of any third party(ies), and that the Materials do not and will not libel, defame, or invade the rights (including, without limitation, the right of privacy or publicity) of any third party(ies); (b) all obligations relating to the Materials have been satisfied, including, without limitation, those with and relating to artists and personnel, licenses, and laboratory and other contracts; (c) you have the right to enter into this Agreement and to grant the rights granted or agreed to be granted hereunder; and (d) you have made all necessary payments (and no additional payments are required to be made) to any and all guilds, unions, performing rights societies, bodies and/or groups representing actors, writers, directors, composers, musicians, artists, and other persons who participated in the production of the Materials.
By posting or submitting content on or to our Site (regardless of the form or medium with respect to such content, whether text, videos, photographs, audio or otherwise), you are giving RLC, and its affiliates, agents and third party contractors the right to display or publish such content on our Site and its affiliated publications (either in the form submitted or in the form of a derivative or adapted work), to store such content, and to distribute such content and use such content for promotional and marketing purposes. Without limiting the generality of the foregoing, with respect to any video submissions to us made by you from time to time, you understand and agree that (unless you and we agree otherwise) we may, or may permit users to, based solely on functionality provided and enabled by our Site, compile, re-edit, adapt or modify your video submission, or create derivative works therefrom, either on a stand-alone basis or in combination with other video submissions, as we may determine and at our sole discretion in any medium now known or hereafter developed, and (unless you and we agree otherwise) you shall have no rights with respect thereto and we or our licensees shall be free to display and publish the same (as so compiled, re-edited, adapted, modified or derived) for any period.
You grant a non-exclusive license to RLC with regard to the Materials he/she has submitted for the term of his/her copyright, and that the Materials be used by RLC as it may determine and at its sole discretion in any medium now known or hereafter developed. Creating an Account
All Applicants and Members may be asked to provide certain personal information when they apply for and/or sign up for our Services such as name, address, telephone number, billing information (such as a credit card number), birth date, and the type of personal computer being used to access the Services. The personal information collected from Applicants and Members during the registration process is used to manage each Applicant’s and/or Member’s account and to collect such information from Applicants and/or Members to send periodic e-mails. This information is not shared with third parties, unless specifically stated otherwise or in special circumstances.
Personal information may be collected by RLC when you use our Site and/or Services. Such personal information may include: name, address, email address, date of birth, telephone & fax numbers, payment information and other personal information that you upload or enter into the Site and/or the Services. We may also hold other details from your social networking user profiles (e.g., LinkedIn, Facebook, Twitter, etc.), if you have provided those user identities to us, including, without limitation, your usernames, passwords, birth date, friends, personal interests, gender, education and occupation. Information, which you add to your online public identities, is accessible on the World Wide Web, which is a public domain. You use the Services and post content at your own risk. Other people may view your online public identity and use it (for example, by tagging you, adding you, or including you in a group). You should be aware that if you cancel your Facebook account, “unfollow” on Twitter or delete the Site from your LinkedIn Apps or you cancel your Membership or make private information, which you have previously made public on any social networking system, some information may remain on public cache databases, including ours. We may provide your personal information and the data generated by cookies and the aggregate information to the vendors and service agencies that we may engage to assist us in providing our Services to you.
